1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Agreement" means these Terms and Conditions together with any applicable engagement letter or program booking confirmation.
- "We / Us / Our / Company" refers to Bodhi Digital, operating from 250/6 Rama III Road, Chong Nonsi, Yan Nawa, Bangkok 10120, Thailand.
- "You / User / Client" refers to any individual or organization accessing our website or engaging our services.
- "Services" means our AI training programs, consulting engagements, and related materials as described on our website.
- "Content" means all materials, documents, reference cards, reports, and briefing documents produced by Bodhi Digital.
2. Acceptance of Terms
By accessing our website or engaging our Services, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. Use of our website constitutes acceptance of these Terms. Engagement of our Services additionally requires acceptance of any applicable program-specific terms communicated during the enquiry process.
3. Service Description
Bodhi Digital provides the following categories of services to organizations and business professionals in Thailand and internationally:
- AI Prompt Engineering Workshops — practical training sessions for business teams
- AI Data Readiness & Preparation — technical consulting engagements for organizations
- AI Leadership & Board Education Programs — executive education sessions
Specific scope, timing, deliverables, and pricing are confirmed in writing prior to commencement of any engagement. Service availability may be subject to scheduling and capacity constraints.
4. User Responsibilities
When engaging our Services or using our website, you agree to:
- Provide accurate and complete information when making enquiries or booking programs
- Use our website and Services for lawful purposes only
- Not reproduce, redistribute, or resell program materials, reports, or reference cards without written authorization
- Not disrupt or interfere with the operation of our website or systems
- Ensure that participants attending workshops have appropriate consent from their employer where applicable
5. Intellectual Property
All content produced by Bodhi Digital — including workshop materials, prompt pattern reference cards, data readiness report templates, and briefing document frameworks — remains the intellectual property of Bodhi Digital. Upon completion of a paid engagement, clients receive a non-exclusive, non-transferable license to use the specific deliverables produced for their engagement internally within their organization. No rights to reproduce, share externally, or create derivative works are granted without prior written consent.
6. Payment Terms
All fees are quoted and payable in Thai Baht (฿). Payment terms for each engagement are confirmed in writing at the time of booking. Our standard payment structure requires a deposit prior to program delivery, with the balance due upon completion. We accept bank transfer as the standard payment method. Invoices are issued in accordance with Thai commercial law.
Cancellation and rescheduling: Cancellations made more than ten business days before a scheduled program may be eligible for a partial refund or credit, at our discretion. Cancellations within ten business days of the program date are generally non-refundable. Rescheduling requests are accommodated where operationally possible without additional charge.
7. Program-Specific Terms
AI Prompt Engineering Workshop: The program is designed for groups of ten to twenty participants. Client organizations are responsible for ensuring participants have access to the AI tools to be used during exercises. Bodhi Digital is not responsible for access restrictions imposed by third-party AI platforms.
AI Data Readiness & Preparation: The client organization is responsible for facilitating access to relevant data systems and personnel. Bodhi Digital will handle all accessed data in accordance with our Privacy Policy and any applicable confidentiality agreement. The final readiness report represents our assessment at the time of engagement; conditions may change after delivery.
AI Leadership & Board Education Program: Scheduling of sessions is agreed in advance in consultation with the client's calendar requirements. Supplementary reading materials are provided in English unless bilingual arrangements are agreed in writing.
8. Disclaimers
Our Services are provided for educational and advisory purposes. Bodhi Digital does not warrant that implementation of any recommendation, skill, or framework learned through our programs will produce specific business outcomes. AI tools and the regulatory environment surrounding them evolve rapidly; materials are accurate at the time of delivery but may not reflect subsequent developments.
Our website is provided on an "as available" basis. We do not warrant that it will be uninterrupted, error-free, or free of viruses or other harmful components.
9. Limitation of Liability
To the fullest extent permitted by applicable Thai law, Bodhi Digital's total liability arising from or in connection with any engagement shall not exceed the total fees paid by the client for that specific engagement. We exclude liability for indirect, consequential, incidental, or punitive damages. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
10. Indemnification
You agree to indemnify and hold Bodhi Digital harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your use of our Services in breach of these Terms or any applicable law.
11. Termination
Either party may terminate an engagement by written notice in the event of material breach that is not remedied within ten business days of written notification. Upon termination, fees for work completed to the termination date remain payable. Bodhi Digital reserves the right to discontinue website services at any time without liability.
12. Dispute Resolution
These Terms are governed by the laws of the Kingdom of Thailand. In the event of a dispute, the parties agree to first attempt resolution through good-faith discussion. If unresolved within thirty days, disputes shall be subject to the jurisdiction of the Thai courts. The primary language of this agreement is English.
13. General Provisions
These Terms constitute the entire agreement between you and Bodhi Digital with respect to its subject matter and supersede all prior agreements. If any provision is found to be unenforceable, the remaining provisions continue in full effect. Our failure to enforce any provision does not constitute a waiver of that right. These Terms may not be assigned by you without our prior written consent.
14. Changes to These Terms
We may update these Terms from time to time. The updated version will be published on our website with a revised "Last Updated" date. Continued use of our Services after any update constitutes acceptance of the revised Terms.
